Terms of Service
These terms govern your access to and use of Arcana Payments, a card-to-USDC settlement service operated by Arcana Operations LLC. Please read them carefully. By integrating, accessing, or using the service, you agree to them.
01Who these terms cover
“Arcana,” “we,” or “us” means Arcana Operations LLC, a company organized in Oregon. “Service” means the Arcana Payments checkout, embed, APIs, operator tools, and related documentation. “Merchant” or “you” means a business that integrates or uses the Service to accept payment for its goods or services. “Buyer” means an end customer who pays through the Service.
If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these terms.
02What the Service does
Arcana Payments is settlement infrastructure. It presents a disclosed checkout in which a Buyer’s card is used to purchase USDC, a US-dollar stablecoin, through a licensed on-ramp operator. The resulting USDC settles to the Merchant. The card authorization is coded to the real activity (a cryptocurrency purchase, MCC 6051), and the Buyer is told, at checkout and on the receipt, that their card is purchasing USDC.
03Roles: who does what
- The licensed operator processes the card, performs KYC/AML, and holds the applicable money-transmitter / MSB licenses. It is the party that transmits money and mints the USDC.
- Arcana orchestrates the checkout session, coordinates the disclosure, and records settlement. Arcana is not a bank, a money transmitter, a money-services business, or the acquirer of record, and does not provide custody of funds.
- The Merchant sells lawful goods or services, presents the checkout, and receives USDC settlement.
Card processing, KYC, and money transmission are governed by the licensed operator’s own terms, which may apply to you and to your Buyers in addition to these terms.
04Non-custodial settlement
The Service is non-custodial. USDC settles directly to the Merchant’s wallet (or, where configured, through an immutable on-chain split contract). Arcana does not take custody of, hold, or control Buyer funds or Merchant proceeds at any point. Arcana’s fee is billed separately or routed on-chain by a split contract; it is never taken by holding your money.
05Eligibility, accounts, and keys
- You must be a business capable of forming a binding contract and must sell only lawful goods or services.
- You are responsible for keeping your secret API keys confidential and server-side. You are responsible for all activity under your keys.
- You must promptly notify us of any suspected unauthorized use of your account or keys.
06Merchant obligations
- Comply with these terms, our Acceptable Use Policy, applicable law, and the card network and operator rules.
- Accurately describe what you sell and only accept payment for goods or services actually provided.
- Preserve the Buyer disclosure that their card purchases USDC; do not remove, obscure, or contradict it.
- Provide clear customer support and honor your own refund and return commitments.
- Provide accurate business and settlement-wallet information and keep it current.
07Fees
Fees for the Service are as agreed with you in writing or as presented at onboarding. The licensed on-ramp’s processing fee is separate and is deducted from the card leg. We may change fees on reasonable notice; continued use after a fee change constitutes acceptance.
08Availability and sandbox status
The Service is currently offered in a limited, pre-launch (sandbox) capacity. In sandbox, no real money moves and settlements are simulated until a licensed rail is keyed for your account. Features, availability, and the roster of licensed operators may change. We do not guarantee uninterrupted availability.
09Compliance and screening
We and the licensed operator may screen, limit, suspend, or decline transactions and accounts to comply with law, network rules, sanctions, and risk controls (including amount limits, velocity limits, and blocklists). We may share information with the licensed operator and with authorities as required by law.
10Intellectual property
The Service, including its software, brand, and content, is owned by Arcana and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and embed as documented, solely to accept payment for your own business. You may not copy, resell, reverse engineer, or use the Service to build a competing product.
11Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that any particular licensed operator will approve or continue to serve you. USDC and blockchain settlement carry risks outside our control, including network, market, and third-party risks.
12Limitation of liability
To the fullest extent permitted by law, Arcana will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the fees you paid us in the three months before the event giving rise to the claim, or one hundred US dollars.
13Indemnification
You will indemnify and hold harmless Arcana and its officers, employees, and agents from claims, losses, and expenses arising out of your use of the Service, your goods or services, your breach of these terms or the Acceptable Use Policy, or your violation of law or the rights of others.
14Term and termination
These terms apply while you use the Service. Either party may terminate at any time. We may suspend or terminate access immediately for a breach of these terms or the Acceptable Use Policy, for legal or risk reasons, or if required by a licensed operator. Provisions that by their nature should survive termination will survive.
15Changes
We may update these terms. When we do, we will revise the “last updated” date above and, for material changes, provide reasonable notice. Your continued use after changes take effect constitutes acceptance.
16Governing law and disputes
These terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws rules. The state and federal courts located in Multnomah County, Oregon have exclusive jurisdiction, unless a separate signed agreement between us provides otherwise. Nothing here limits any non-waivable statutory right you may have.
